By accessing our website (venture33.com.au) or downloading, installing, or using any application developed by Venture 33, including Mindroo and The Bureau (together, the "Products"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or Products.

These Terms constitute a legally binding agreement between you and Venture 33 ("we", "us", or "our"), a venture studio operated in Australia with services available globally. We reserve the right to update these Terms at any time. Your continued use of our website or Products following any changes constitutes your acceptance of the revised Terms.

If you are accessing our website or Products from outside Australia, you are responsible for ensuring that your use complies with the laws applicable in your jurisdiction.

Eligibility

You must meet the minimum age requirement in your country or region to use our website or Products. In all cases, you must be at least 13 years of age. User Accounts

To access certain features of our Products, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials

• All activity that occurs under your account

• Notifying us immediately of any unauthorised use of your account

We reserve the right to suspend or terminate your account if we believe you have violated these Terms.

Acceptable Use

You agree to use our website and Products only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Use our website or Products for any unlawful or fraudulent purpose

By using a Product, you grant us a limited licence to store and process Your Content solely for the purpose of providing that Product's services to you.

We do not claim ownership of Your Content and will not share it with third parties except as described in our Privacy Policy.

Intellectual Property

Our website, Products, and all associated content, features, and functionality — including but not limited to text, graphics, logos, icons, images, and software — are owned by Venture 33 and are protected by Australian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use our website and Products for personal, non-commercial purposes in accordance with these Terms. You must not reproduce, distribute, modify, create derivative works of, or commercially exploit any part of our website or Products without our express written permission.

Subscription and Payments

Certain features of our Products may be available through a paid subscription. If you purchase a subscription:

• A free trial period may be offered. Any unused portion of a free trial will be forfeited upon purchase of a subscription

• Payment will be charged to your Apple ID account (or other applicable payment method) at confirmation of purchase

• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period

• You can manage and cancel your subscription through your Apple ID Account Settings (or the relevant app store account settings)

• No refunds are provided for the unused portion of a subscription period, except where required by applicable law

• Prices are displayed in your local currency where available, otherwise in Australian Dollars (AUD)

• We reserve the right to change subscription prices with reasonable notice

If you are located in a jurisdiction with statutory refund or cooling-off rights, those rights are not affected by this clause.

Limitation of Liability

To the maximum extent permitted by applicable law, Venture 33 and its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our website or Products.

Our total liability to you for any claim arising out of or relating to these Terms, our website, or any Product will not exceed the amount you paid us in the 12 months preceding the claim, or AUD $100, whichever is greater.

Nothing in these Terms limits or excludes any statutory rights or consumer guarantees you may have under the laws of your jurisdiction that cannot be excluded or limited by law, including under the Australian Consumer Law or equivalent consumer protection legislation in your country.

Australian Consumer Law

For Australian users, our services come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the services remedied if they fail to be of acceptable quality.

Disclaimers

Our website and Products are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our website or Products will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any content provided through our website or Products.

Termination

We reserve the right to suspend or terminate your access to our website or Products at any time, with or without notice, for any reason including if we believe you have violated these Terms.

You may terminate your account at any time through the relevant Product's settings. Upon termination, your right to use that Product will immediately cease.

Mindroo

Mindroo is a wellness support tool and is not a substitute for professional medical advice, diagnosis, or treatment. If you are experiencing a mental health crisis, please contact a qualified health professional or emergency services immediately.

The content, features, and information provided through Mindroo, including but not limited to mood tracking, AI chat responses, breathing exercises, journaling prompts, and wellbeing insights, are for informational and supportive purposes only. Mindroo does not provide medical advice, diagnosis, treatment, or therapy. Always seek the advice of a qualified health professional with any questions you may have regarding a medical or mental health condition. In the event of a medical emergency or mental health crisis, contact your local emergency services immediately. In Australia, call 000.

Mindroo includes an AI-powered chat feature ("Milo") designed to provide general wellness support and conversation. By using this feature, you acknowledge and agree that:

• Milo is not a licensed therapist, counsellor, psychologist, or medical professional

• Responses generated by the AI are automated and may not always be accurate or appropriate

• The AI chat is not suitable for crisis situations or emergencies

• You should not rely solely on the AI chat for mental health support

• We are not liable for any decisions you make based on AI chat responses

• Messages you send are processed by OpenAI's API as described in our Privacy Policy
